Tajerun Terms & Conditions

(Final integrated version)

Last updated: 29 Ordibehesht 1405

This document is the Conditions & Terms of the Tajerun platform (Tajerun.com). Any use of the system by a user (booth holder/seller or customer/buyer) constitutes full and unconditional acceptance of its provisions.

Please read this document carefully before using the services.

These terms may be updated in the future as Tajerun's services evolve or applicable law changes. Continued use of the platform constitutes acceptance of the updated terms.

1) Parties, definitions, and interpretation

1.1 Parties

Tajerun: The B2B wholesale online marketplace at Tajerun.com and all related services, tools, applications, domains, and affiliated brands.
User: Any natural or legal person using Tajerun's services.

11.3 Review process

  • Booth holder (seller): A supplier or manufacturer of goods on Tajerun.
  • Customer/buyer: A professional or commercial wholesale buyer who places orders on Tajerun.

1.2 Key definitions

Order: Placing an order and purchase on Tajerun, including custom production, customer branding, or special packaging conditions.
Purchase request registration:
QC / quality control: Inspection of quality, product integrity, and packaging, and verification that goods shipped match the image, video, or physical sample approved by the customer, sent by the booth holder (seller) to a Tajerun-approved processing center with the order at a Tajerun warehouse (or other locations as announced by Tajerun).
Service fee: A percentage of the total order amount for platform services, marketing, translation, seller and buyer support in the transaction, logistics coordination, and customs clearance.
Account/balance: The booth holder's financial status in the panel, including receivables, fees, deductions, and payments.
Policies/annexes: Attached or referenced documents (prohibited goods list, packaging standards, SLA, privacy, and cookies) that are an integral part of this agreement.

1.3 Marketplace nature

Tajerun is a B2B marketplace whose role is to facilitate communication, secure payment, quality control, customs clearance, secure transfer of funds from customer to booth holder (seller), and logistics coordination between booth holder (seller) and buyer.

Tajerun is not itself a party to the contract for the sale of goods. In all transactions Tajerun acts as agent and transaction facilitator (commission intermediary) and is not the principal party to the sale of goods.

Tajerun's revenue comes solely from service fees charged to the booth holder (seller) and buyer, including marketing, quality control, logistics, translation, support, and payment coordination. These fees are of a service nature and are unrelated to ownership of goods or profit from sales.

1.4 Interpretation

Undefined terms are interpreted according to Iranian B2B trade custom, Iranian law, and Tajerun's attached documents. Internal interpretation authority: Tajerun legal unit.

2) Subject and scope of the agreement

Use of Tajerun services includes: creating a booth, listing and selling permitted goods, registering and processing wholesale orders, secure fund transfer and payment, shipment to Tajerun warehouses, quality control (QC), international and/or domestic carriage, support and dispute resolution, and customization services.

Compliance with the laws of Iran, commercial and customs requirements, and regulations on standards, health, safety, and intellectual property is mandatory.

This document governs all users across every part of the platform.

3) Membership, user account, and identity verification (KYB/KYC)

3.1 Account creation

Registration requires accurate identity, legal, or business information and acceptance of this document.

The minimum age for natural persons is 18 full years.

Each mobile number or email must belong to the user and be under their control. The user is responsible for account security.

3.2 Identity verification and compliance

Tajerun may at any time, to implement KYB/KYC and comply with anti–money laundering, sanctions, or foreign-exchange regulations, request supplementary documents and information including identity documents, registration records, activity licenses, tax certificates, commercial cards, banking documents, and documents matching the SIM card, contact number, and bank account with the booth holder's national ID.

Failure to provide documents within the stated deadline may result in suspension of services or withholding of settlement until the obstacle is removed.

If there is ambiguity or suspicion of violation, Tajerun may block suspicious funds until resolved by the competent authorities.

3.3 Account ownership and transfer

Transfer or assignment of an account or booth without Tajerun's written permission is prohibited. The user is liable for any unauthorized use.

3.4 Booth activation

A booth may be created only after completing the following steps:

Create a booth in the user panel.

Add at least 5 permitted products with complete information (title, image, description, price).

Complete identity verification including:

  • Upload an image of one valid identity document (national ID card or passport).
  • Upload a selfie of the user holding the identity document beside their face.
  • The mobile number registered on the account must match the booth holder's national ID or identity documents. If they do not match, the account will not be approved until the discrepancy is resolved.

Until these steps are completed and finally approved by Tajerun, the booth will remain inactive.

4) Permitted use, content, and intellectual property

4.1 Permitted use

Users must use the platform lawfully and professionally within the laws of Iran and the regulations of the destination country.

Directing transactions off the platform (such as sharing contact details or direct payment links) is prohibited and constitutes a material breach.

4.2 Remedies for breach

  • Suspension or blocking of the account/booth.
  • Contractual penalty equal to 10% of the estimated transaction value (deductible from the user's balance or future receivables).
  • Legal action to recover damages.

4.3 Content and display of information

Accuracy of product information (title, image, description, price, licenses) is the booth holder's (seller's) responsibility.

Tajerun may remove or restrict content that violates laws without prior notice.

By uploading content, the booth holder (seller) grants Tajerun a non-exclusive, royalty-free right to use it in marketing, translation, or international display.

Public business data such as ratings, reviews, or sales history may be displayed.

4.4 Intellectual property

All intellectual property rights in the system, brand, design, and intangible assets belong to Tajerun.

Sale of counterfeit goods or goods infringing intellectual property is prohibited and subject to legal action.

5) Prohibited and license-restricted goods (Annex A)

Prohibited: counterfeit goods, hazardous goods without authorization, sanctioned items, dual-use materials without authorization, food or health products without permits, unauthorized medical equipment, and any goods prohibited under Iranian law.

License-required: food products, beverages, cosmetics and health products, electronics with required standards or warranty, chemicals with MSDS, and goods requiring legal labels and warnings.

The booth holder (seller) must provide quality and compliance documents (COI/COA, standard or health certificates) when requested.

The list of prohibited or restricted goods may be updated.

6) Official communications

Official Tajerun channels are valid only through the Tajerun.com website and tools identified on it.

Messages outside these channels (unverified numbers or emails) are not admissible as evidence.

7) Packaging, shipment to Tajerun warehouse, and quality control (SLA)

7.1 Confirmation and preparation

The booth holder (seller) must confirm or reject an order within a maximum of 24 business hours.

After Tajerun confirms shipping and customs feasibility and receipt of funds, the booth holder (seller) must begin preparation and packaging in accordance with QC standards and Tajerun's published instructions.

7.2 Shipment to Tajerun QC warehouse

The booth holder (seller) must ship goods to the Tajerun QC warehouse within the agreed lead time based on the minimum order quantity set on the product on Tajerun, with appropriate packaging, correct labeling, and relevant quality documents.

Shipping costs to the Tajerun QC warehouse are borne by the booth holder.

If packaging is inadequate or labeling is incomplete, liability for transport or warehousing damage lies with the booth holder (seller).

7.3 Quality control (QC)

Goods at the Tajerun QC warehouse are inspected for integrity, quantity, and quality.

QC approval is a prerequisite for staged settlement and international shipment.

7.4 Supplier/manufacturer obligations during order preparation

Resource allocation and commencement: after order confirmation and Tajerun's announcement of receipt of funds, the supplier/manufacturer must allocate production capacity, raw materials, and labor to the order and begin preparation without delay. Any capacity diversion to other orders causing delay is deemed a violation.

Note: if more preparation time is needed, the booth holder may request additional time from the customer through Tajerun.

Adherence to technical specifications: production and preparation must strictly follow agreed specifications (formula/BOM, material brand, source, process, color, dimensions, tolerances, packaging standard) per QC definitions. Any change in materials, source, process, design, packaging, or trademarks without the buyer's prior written approval through the platform and without notifying Tajerun is prohibited. If changed, pre-production samples require Tajerun approval.

Compliance with shipping schedule and risk notification: the supplier/manufacturer must prepare and ship the order per the preparation and shipping time stated on the product. If the supplier determines that preparation will be delayed by more than one business day, they must notify Tajerun via the system or support at least 48 hours before the registered shipping date and provide the following so Tajerun can inform the customer:

  • Cause of delay
  • Corrective plan
  • New delivery time (ETA)
  • During order preparation, the supplier must perform internal quality controls (IPQC) per documented customer or Tajerun request on the Tajerun platform and maintain records of product batch/lot, test results, and product standard compliance.
  • At Tajerun's or the customer's request, the supplier must provide related documents and certificates including COI/COA, standard certificate, QC checklist, and MSDS (if applicable).
  • These documents must be uploaded or delivered in the Tajerun system or by other methods announced by Tajerun.
  • For goods with expiry dates, the supplier undertakes that at delivery to Tajerun's warehouse at least 80% of shelf life remains unless another written agreement among the parties (supplier, customer, and Tajerun) is recorded.

Packaging and pre-shipment documents: the supplier must prepare the order per packaging standards announced by Tajerun and appropriate to the nature of the goods (fragile, chemical, food, etc.). Before shipping goods to Tajerun's warehouse (Qom), the supplier must upload via the Tajerun system photos or video of the final product, packaging type, production and expiry dates (for applicable goods), and other requirements and documents announced by Tajerun.

Uploading documents is a prerequisite for authorization to enter goods into Tajerun's warehouse.

In addition, the supplier must observe packaging conditions appropriate to the product type (temperature, humidity, impact protection, light, UV, etc.).

  • Each shipment must have a unique lot/tracking code inscribed on each unit/carton/pallet.
  • The booth holder (seller) must upload lot information in the Tajerun system.
  • The booth holder (seller) must retain a witness sample from each lot for at least 3 months after delivery to Tajerun's warehouse.
  • Until delivery to Tajerun's warehouse, the booth holder (seller) must maintain storage conditions appropriate to the product type (temperature, humidity, impact protection, light, UV, etc.).
  • If required (sensitive or dated goods), the booth holder (seller) must log temperature/humidity or other storage conditions and provide them upon request of customer, Tajerun, carrier, or customs.
  • FEFO/FIFO principle for dated goods is mandatory.
  • The booth holder (seller) must also document all conditions required for storage and shipment before warehouse delivery for QC approval.
  • The booth holder (seller) may not assign production or packaging of the order to third parties without Tajerun's written permission.
  • If permission is granted, the booth holder (seller) remains ultimately responsible for quality, safety, and product compliance.
  • For orders involving branding, custom packaging, or private label, the booth holder (seller) may use trademarks, designs, packaging, or other intellectual property only within that order and solely under Tajerun's written license.
  • The booth holder (seller) may under no circumstances use these assets for other customers, similar products, or personal purposes.
  • Any disclosure, copying, or use outside the order of the customer's or Tajerun's marks and intellectual property is prohibited and, if it occurs, the booth holder (seller) is liable for all legal and contractual consequences.
  • Ownership of all intellectual property used in these orders belongs to the customer or Tajerun and is made available to the supplier/booth holder solely to perform the order.

Non-conformity management and correction (CAPA): if non-conformity is reported by Tajerun warehouse QC, the supplier/manufacturer must provide and implement a corrective/preventive action (CAPA) plan within a maximum of 5 business days. Costs related to rework/replacement/repackaging/reshipment, if fault is established, are borne by the booth holder.

  • All direct costs arising from fault or failure to comply by the supplier/manufacturer (including rework, repackaging, excess warehousing, operational stoppage, reshipment, quality loss from inadequate packaging, or any other documented cost) are borne by them.
  • Determination and reporting of these costs by Tajerun's QC or operations unit is the basis for action.
  • Tajerun may deduct the said costs from the supplier/booth holder balance per the Disciplinary Guidelines and Damages (Annex C) or, if balance is insufficient, recover them legally.

In force majeure events outside the parties' control including but not limited to: flood, earthquake, widespread fire, natural disasters, epidemic/pandemic, widespread or prolonged infrastructure outage (internet, banking system, energy), sanctions or sudden legal restriction, war, riot, coup, civil unrest, general strike, or security conditions making performance impossible or unreasonable, the following applies:

Booth holder (seller) notification obligation: the supplier/manufacturer must register the matter in the Tajerun system within 24 hours of occurrence or awareness and provide necessary documents (official report, certificate of competent authorities, or valid records). Failure to register within the deadline forfeits the right to invoke force majeure.

Tajerun actions: after reviewing circumstances, Tajerun may, based on buyer and booth holder (seller) interests, apply one of the following:

  • Temporary suspension of the order and extension of preparation/shipping time.
  • Replacement of goods or booth holder (seller) with buyer consent.
  • Cancellation of the order and refund of buyer payment (if not shipped to Tajerun warehouse or before QC approval).

Liabilities and damages: if performance is impossible or delayed due to unforeseeable circumstances outside control (such as war, earthquake, flood, sanctions, general strike, etc.), neither party (booth holder (seller) or Tajerun) is liable for penalty or damages, provided that:

  • The booth holder (seller) informs Tajerun as soon as possible.
  • Costs apply only to the portion of the order completed before the event.
  • If goods were delivered to Tajerun QC warehouse (Qom) before the event, their fate (shipment, storage, or return) is decided based on QC opinion and coordination with booth holder (seller) and customer.
  • Payments to supplier/booth holder are staged: 20% after QC and 80% remainder after deduction of booth holder fee and after delivery of the order to the customer.
  • Amounts for cancelled or unenforceable portions are refunded to the buyer.
  • Held funds in Tajerun's account remain blocked until final disposition.
  • If force majeure occurs, financial and contractual obligations for services fully completed before the event (such as successful QC or processing fees) remain valid.
  • For portions of the order not yet performed or goods not received by the customer, Tajerun will, as appropriate and in coordination with booth holder (seller) and customer, refund, replace, or apply other remedial measures.

8) Financial process, fees, and settlement

Customer payment: the customer deposits the order amount (full or advance) to Tajerun's official account or introduced business partners. This amount is held in escrow with Tajerun until stages are completed.

After QC approval and successful delivery of goods to the customer, Tajerun releases the booth holder's (seller's) amount per settlement stages.

Tajerun charges a fee for its services (including marketing, QC, logistics, export coordination, and support) from the transaction parties. The fee rate is announced in the system and may be updated with formal notice.

Settlement with the booth holder (seller) is staged after approval of each stage (QC, successful delivery to customer). Settlement details and timing are visible in the booth holder (seller) dashboard.

Service fee: Tajerun's fee from supplier/booth holder is 8% of the toman value of products per order and Tajerun's fee from the buyer is 4% of the foreign currency value of products per order (subject to change with formal notice in the system).

8.3 Type 2 invoice by legal-entity booth holders

If the booth holder is a legal entity, they must issue a type 2 invoice to the end buyer for each order confirmed through the platform. Buyer details, order amount, and value-added tax per Iranian tax law must appear on the invoice.

The electronic copy of the invoice must be uploaded through the tax system or Tajerun panel.

Failure to issue a valid invoice may result in suspension of settlement until the discrepancy is resolved.

8.4 Proxy invoice (Invoice Proxy)

Invoices issued on the Tajerun platform are deemed proxy invoices and represent only the transaction Tajerun facilitated as intermediary on behalf of the booth holder (seller) between booth holder (seller) and buyer.

This invoice reflects the booth holder's (seller's) direct obligation to the buyer and ownership of goods or material rights of the transaction are not transferred to Tajerun.

Tajerun receives only its service fee as commission and service cost under this document.

  • 20% of order value is paid to the booth holder (seller) after QC approval at Tajerun's warehouse within a maximum of 72 business hours.
  • The remaining 80% of the order amount, after confirmation of successful delivery to the customer and deduction of service fees, is paid to the booth holder (seller) within a maximum of 72 business hours.

Dispute or discrepancy: if at any order stage (QC, delivery, or payment) a dispute or conflicting claim arises between the parties, the amount for the disputed portion remains temporarily with Tajerun until review and disposition. Amounts for portions approved by both parties are paid to the booth holder (seller) without stopping the process per usual procedure. After review and announcement of outcome by Tajerun (or agreed arbitration forum), final settlement for the disputed portion is made.

  • If dispute, discrepancy, or damage occurs and Tajerun's review shows fault or violation by one party (booth holder (seller) or customer), Tajerun's costs for order processing, QC, packaging, warehousing, or logistics are borne by the at-fault party.
  • These costs are deducted from amounts held by Tajerun (customer deposit or booth holder (seller) balance) and, if insufficient, Tajerun may recover the difference legally or contractually.
  • If neither party is at fault (e.g., force majeure), Tajerun's incurred costs are calculated per general procedure and proportionate to the stage of order performance.

Banking costs: all banking costs, international transfer fees (SWIFT, remittance, etc.), and bank deductions related to deposit are borne by the customer unless otherwise agreed in writing.

Currency and exchange rate: payments are made in the currency stated on the order. If paid in another currency, conversion is based on the official rate of the exchange or bank introduced by Tajerun.

9) International carriage, customs, and risks

  • Under Tajerun's standard model, carriage and risk transfer between parties is determined under Incoterms 2020.
  • Between supplier and Tajerun, the default Incoterm is FCA (Qom, Iran); meaning the supplier is responsible for preparation, packaging, and delivery of goods until physical delivery at Tajerun's warehouse (Qom), and from delivery risk transfers to Tajerun.
  • Between Tajerun and the end customer, the default Incoterm is DDP (customer's destination city); meaning Tajerun is responsible for carriage, customs, insurance, and sound delivery of goods at the customer's destination.
  • If the parties agree otherwise in writing, conditions stated on the order replace these rules.

International carriage insurance must be obtained if Tajerun deems it required or per agreement with supplier and customer. If not insured, carriage risk lies with the buyer and Tajerun has no liability.

Duties, tariffs, and customs taxes of the destination country are borne by the buyer unless the order explicitly states otherwise.

Delay caused by carrier, customs, or authorities is not deemed fault of the booth holder (seller) or Tajerun. Tajerun is only obliged to notify.

If goods are returned from destination: if the buyer is at fault, return and warehousing costs are borne by the buyer.

If the booth holder (seller) is at fault, return costs and damages are borne by the booth holder (seller).

In force majeure or carrier fault cases, costs are shared among the three parties, logistics, Tajerun, and customer per Tajerun's decision and documentation.

For perishable goods, the booth holder (seller) must state carriage and shelf-life conditions on the product on Tajerun and in the order. Liability for spoilage in customs or carriage, if storage conditions are not stated or packaging is inadequate, lies with the booth holder (seller).

10) Cancellation and return policy (B2B)

Note: In B2B transactions, the household consumer right of withdrawal under consumer protection law does not apply. Returns are possible only in case of discrepancy, defect, non-delivery, or written agreement between the parties.

10.1 Stage 1: Order placement

  • Cancellation by booth holder (seller) (before supply confirmation): order cancelled and no payment is made.
  • Cancellation by buyer (before payment): full cancellation without settlement.

10.2 Stage 2: After confirmation and before delivery to Tajerun warehouse

Confirmation of the order by the booth holder (seller) constitutes the start of preparation and a binding contract between buyer and booth holder (seller) through Tajerun. Cancellation after this stage is permitted only under the following conditions:

Cancellation by booth holder (seller): in this case, the full amount paid by the buyer is refunded.

Cancellation by buyer:

  • If preparation has not yet started: full refund.
  • If preparation or production has started: cancellation only with consent of the booth holder (seller) and Tajerun, and after deduction of actual preparation, consumable, or packaging costs.
  • If goods have been shipped or delivered to Tajerun's warehouse: cancellation only if a defect or discrepancy is confirmed by QC.

10.3 Stage 3: After shipment to Tajerun warehouse

After delivery of goods to Tajerun's warehouse, order cancellation is possible only in special cases and with Tajerun's formal approval.

If cancelled by booth holder (seller):

  • Goods are returned to them and all carriage and warehousing costs are borne by the booth holder (seller).
  • In addition, the booth holder (seller) must pay Tajerun's service fee equal to 8% of the order's toman value as cancellation and platform damage compensation.
  • In case of repeated or multiple cancellations, Tajerun may temporarily suspend or restrict the booth holder's (seller's) account.

If cancelled by buyer:

  • Goods are returned to the booth holder (seller) and preparation, carriage, and warehousing costs are deducted from the buyer's payment.
  • In this case, the advance payment or deposit is deemed non-refundable unless Tajerun decides otherwise.

10.4 Stage 4: After QC at Tajerun warehouse

If delivered goods are found defective or inconsistent with the order:

  • Goods are returned and the buyer's payment is refunded.
  • Carriage, return, warehousing, and re-inspection costs are borne by the booth holder (seller).
  • In addition, the booth holder (seller) must pay Tajerun's service fee (8% of order value) as a fault-based cancellation penalty.

If goods conform to order specifications but the buyer requests cancellation:

  • In this case, the advance payment or deposit is deemed non-refundable unless Tajerun decides otherwise.
  • Warehousing, return, or reshipment costs are borne by the buyer.

Cancellation at this stage is permitted only with formal QC approval by Tajerun and documented technical defect or discrepancy. Other reasons for cancellation (including change of mind or the buyer's commercial circumstances) are not accepted.

A) Cancellation by booth holder (seller)

Cancellation at this stage is permitted only for technical reasons, such as discovery of defect or discrepancy after QC.

If fault of the booth holder (seller) is proven (e.g., shipment of defective or inconsistent goods), goods are returned and the buyer's payment is fully refunded. All related costs including transport, processing, and QC are borne by the booth holder (seller).

Cancellation by the booth holder (seller) for non-technical reasons or outside the above conditions is deemed a violation and subject to penalties or restrictions determined by Tajerun.

B) Cancellation by buyer

After QC, cancellation by the buyer is possible only if technical defect or inconsistency with the order is proven. In that case, goods are returned and the buyer's payment is refunded.

If goods are sound and conform to the order, cancellation by the buyer at this stage is not possible and costs and liabilities remain with the buyer.

10.5 Stage 5: After international/intercity shipment

  • Cancellation by the buyer is not possible. Withdrawal means payment of all costs in full. In special cases, disposition is determined on force majeure grounds.
  • If goods are not received or are returned from destination, disposition is based on customs rules and fault of the parties.

10.6 Stage 6: Final settlement with booth holder

  • In the normal course: the remaining toman amount of the order, within a maximum of 72 hours after the customer's receipt and confirmation of satisfaction, is finalized and, after fee deduction, a transfer request for settlement with supplier/booth holder is sent to the bank.
  • If the customer fails to pay due to dissatisfaction or customs hold: funds remain with Tajerun until the order is finalized.

10.7 Documents required to review and approve returns

To register and review a return request, the following documents are required:

  • Clear images or videos of damage, defect, or product discrepancy
  • Written report from the QC unit or carrier (if available)
  • Purchase invoice or goods delivery receipt
  • Original product packaging (as undamaged as possible)
  • Serial number and production date where the product has such specifications
Note: Failure to provide any of the above may result in rejection of the return request.

10.8 Costs and conditions for international return of goods

Due to customs restrictions and high international transport costs, returning goods from the destination country to Iran is generally not feasible and is done only in special cases with Tajerun's approval. In such cases:

  • All carriage, clearance, and customs costs are borne by the at-fault party (booth holder (seller) or buyer)
  • In other cases, damage settlement or refund without physical return of goods is carried out based on the QC report and agreement of the parties

1.1 Parties

11.1 Time to report discrepancy

The buyer may report product discrepancy or defect at two stages:

Upon delivery at destination:

  • Visual inspection of seals, packaging, and transport damage
  • Random sampling (maximum 10% of shipment)
  • Immediate recording of any visible defect in the Tajerun system

After delivery:

  • Maximum 7 business days for ordinary goods
  • Maximum 48 hours for perishable goods

11.2 Required documents

To review a claim, the buyer must upload the following in the system:

  • Clear images or videos of defect or discrepancy
  • Photo of original packaging and labels
  • Delivery receipt or invoice
  • Lot or serial number (if applicable)

If documents are incomplete, review will not be conducted.

11.3 Review process

Tajerun's QC team reviews documents and issues an official report.

Response time is a maximum of 5 business days.

If unclear, Tajerun may request an on-site visit or opinion of a reputable third-party expert.

The final outcome, after QC approval by Tajerun and, if necessary, confirmation by buyer and booth holder (seller), is binding.

11.4 If discrepancy or defect is confirmed

The booth holder (seller) must, within a maximum of 7 business days, take one of the following actions:

  • Ship a replacement conforming to the order
  • Full refund
  • Compensatory agreement (discount, financial compensation)
  • All carriage, packaging, re-QC, and delay damages are borne by the booth holder (seller).
  • If the booth holder (seller) refuses or delays performance, Tajerun may deduct the said costs and service fee (8%) from the booth holder's (seller's) account balance.

11.5 If the discrepancy claim is rejected

  • The order is deemed final and payment will be settled to the booth holder (seller) per the usual process.
  • The buyer has no right to appeal again unless new documents or official documentation from a third party is provided.

11.6 Limitation on international return

  • Physical return of goods from the destination country is done only in exceptional cases and by Tajerun's decision.
  • In other cases, compensation is through financial payment, replacement shipment, or agreed discount.
  • If physical return is required, goods are returned only to Tajerun's Qom warehouse unless otherwise agreed.

11.7 Non-returnable goods

The following goods are not returnable:

  • Custom goods or goods with private label and custom packaging
  • Goods consumed or damaged by the buyer
  • Perishable goods after expiry of the discrepancy reporting period
  • Goods that are inherently non-returnable (such as chemicals, opened food, health or thermal products)
  • Cases where the buyer intends to cancel solely due to change of mind or commercial decision

12) Responsibilities and limitations

12.1 Tajerun's role and limits of liability

Tajerun is a B2B platform and international trade facilitator and is not directly the manufacturer or booth holder (seller) of goods.

Tajerun's primary responsibility is to provide a secure environment for transactions, quality control (QC) at Tajerun's warehouse, and logistics coordination to the customer's destination.

Tajerun only ensures that goods are delivered in accordance with characteristics registered on the platform or information on the product page and are delivered intact to the customer's city warehouse.

Responsibility for intrinsic quality, authenticity, production licenses, and final product performance lies with the booth holder (seller).

The customer must pay attention to descriptions, images, and product specifications when purchasing and, if needed, request a sample.

All costs related to branding, customization, extra packaging, carriage from Tajerun's warehouse to the destination city, clearance, and payment of destination country customs duties are borne by the customer unless the order explicitly provides otherwise.

12.2 Liability for logistics, customs, and international payment services

  • Transport, clearance, insurance, and international payment services on Tajerun are performed by official, reputable partners (third-party service providers) operating under Tajerun's supervision.

Tajerun guarantees that these services are performed in accordance with official, licensed procedures and with full tracking.

  • However, operational responsibility for each service (such as transport delay, customs hold, or banking issue) lies with that service provider, not Tajerun.

If a problem arises, Tajerun must follow up and, in accordance with its policies, take remedial or corrective coordination action.

  • Tajerun is not liable for delay or damage arising from customs authorities' decisions, legal restrictions in the destination country, or carrier fault, unless direct fault by Tajerun is established.
  • The booth holder (seller) and buyer must cooperate in providing documents, information, and legal authorizations to Tajerun and contracted companies.

12.3 Events and factors outside control

Tajerun shall not be liable for force majeure events including natural disasters, currency fluctuations, sanctions, regulatory changes, infrastructure problems, internet or banking system outages.

In such circumstances, Tajerun is only obliged to notify the parties and coordinate continuation or suspension of the process.

12.4 Mediation and settlement of disputed amounts

If a dispute arises between buyer and booth holder (seller), Tajerun may act as a neutral mediator, review the parties' documents and records, and propose dispute resolution.

Tajerun may hold disputed amounts in escrow until final disposition.

Tajerun's final decision is based on records in the system and the official QC report and is binding on the parties unless another arbitration forum is designated in the contract.

12.5 Translation and international display of information

Tajerun may translate or rewrite booth and product information for display in different languages to make it available to international buyers.

However, the booth holder (seller) remains responsible for the accuracy of final product information (including specifications, price, composition, licenses, and standards).

Tajerun has no liability for translation errors, differences in interpretation, or misunderstanding of product content.

13) Privacy and cookies

Tajerun collects and processes necessary data to provide services, enhance security, analyze user behavior, and improve user experience.

Continued use of the Tajerun platform constitutes full acceptance of those policies.

Users' personal information is disclosed only in the following cases:

  • With the user's written consent, or
  • Pursuant to a valid order of legal or judicial authorities.

Tajerun undertakes to protect user information in accordance with data security standards and applicable laws of the Islamic Republic of Iran.

14) Termination, suspension, and effects

Any user may at any time request deletion or deactivation of their account. After necessary review, Tajerun will block the account and settlements and outstanding obligations will be handled under this document.

Tajerun may temporarily or permanently suspend, restrict, or block a user account in the following cases:

  • Violation of Tajerun rules or regulations
  • Providing false or forged information
  • Any fraud, deception, forgery, data theft, system abuse, or circumvention of the platform
  • Illegal activity or threat to user security
  • Or pursuant to order of competent legal authorities

In case of normal termination or blocking (at user request or for non-violation reasons), prior financial and legal obligations remain valid and binding.

If termination is due to violation, fraud, or abuse, Tajerun may void all payments, benefits, and outstanding commissions and, if necessary, initiate legal and criminal action.

Tajerun may retain transaction records and related data for the legal period for retention of commercial documents.

If any fraud or abuse is discovered, in addition to blocking the account, Tajerun may void transactions, block funds, or pursue domestic and international legal action.

15) Dispute resolution and governing law

Governing law for the platform: relations of all users with Tajerun, including membership, fees, tax, and all financial or administrative obligations related to the platform, are subject to the laws and regulations of the Islamic Republic of Iran.

Governing law for transactions between users (buyer and booth holder (seller)): international transactions on Tajerun are subject to international commercial principles and the latest version of Incoterms unless the parties designate another law in writing.

If there is any conflict between conditions and agreements recorded on Tajerun and general Incoterms rules, Tajerun agreements and policies and direct agreement between buyer and booth holder (seller) prevail.

Internal dispute resolution: disputes between users or between users and Tajerun are first reviewed through Tajerun's internal mediation and Tajerun seeks to resolve them within a maximum of 30 business days.

Arbitration or adjudication forum: if no agreement is reached, the matter is referred as appropriate to one of the following:

  • For disputes related to the platform or Iranian users: competent judicial authorities of the Islamic Republic of Iran.
  • For international disputes between users: arbitration of the Iran Chamber of Commerce, Industries, Mines and Agriculture (ICCA) or an international arbitration forum agreed by the parties.

Annex D — Tajerun financial and agency model

Tajerun is not the buyer or booth holder (seller) of goods.

All transactions on Tajerun are between the booth holder (as seller) and the customer (as buyer).

Tajerun acts solely as agent and platform service provider, responsible for financial coordination, quality control, logistics, and international services.

Tajerun's revenue comes from two-sided service fees (from booth holder (seller) and buyer) at rates announced in the system.

Invoices issued in the system are proxy invoices only and are admissible for accounting, proof of transaction, and presentation to authorities.
